TERMS OF SERVICE & SALES POLICIES

These Terms of Service and Sales Policies govern all engagements with The Conduit Agency, LLC ("The Conduit Agency," "we," "us," or "our") and apply to all clients, host partners, and guests who engage our services through this website, direct inquiry, or any other channel. By engaging The Conduit Agency in any capacity, you agree to be bound by these terms.
1. SERVICES OFFERED
The Conduit Agency offers private consulting and concierge services across three engagement tiers:
(a) The Arrival — luxury concierge and guest experience management for short-term rental properties and private residences, offered on a per-stay or monthly retainer basis.
(b) The Conduit — ongoing executive and operational support for C-suite leaders, founders, and high-net-worth individuals, offered on a monthly retainer basis.
(c) The Architect — brand strategy, hospitality consulting, and luxury brand activation for luxury brands, boutique hotels, and high-growth businesses, offered on a project or retainer basis.
All services are provided by Chivon D. Joseph, Founder and Principal of The Conduit Agency, LLC. Engagements are taken by selective inquiry and are subject to availability and mutual agreement.
2. ENGAGEMENT & SERVICE AGREEMENT
All engagements are formalized through a written service agreement or contract executed by both parties prior to the commencement of any work. No services will be rendered and no work will begin until a signed agreement is in place.
The scope of services, engagement duration, fee structure, and deliverables are defined in the applicable service agreement or Statement of Work. Any services requested outside of the agreed scope will be addressed through a written amendment before execution.
The Conduit Agency reserves the right to decline any engagement at its sole discretion without obligation to provide a reason.
3. FEES, PAYMENT TERMS & BILLING
All fees are established in the applicable service agreement prior to engagement commencement. The Conduit Agency does not publish fixed pricing publicly. Rates are customized based on the scope, duration, and complexity of each engagement.
Payment Methods
The Conduit Agency accepts payment via the following methods:
(d) Credit or debit card via Stripe secure payment link

(f) PayPal — as indicated on the applicable invoice
Invoicing Schedule
Retainer clients are invoiced on the agreed billing date each month. Per-stay clients are invoiced prior to the commencement of the stay. Project-based clients are invoiced 50% at contract signing and 50% upon final delivery unless otherwise agreed in writing.
Payment Due Date
All invoices are due within seven (7) days of the invoice date unless otherwise specified in the service agreement. Work does not commence until payment or deposit is received.
Late Payment
Invoices unpaid after the due date will incur a late fee of 1.5% per month on the outstanding balance. The Conduit Agency reserves the right to pause or suspend services until the account is brought current. Continued non-payment may result in termination of the engagement in accordance with Section 7.
Rush Fees
Requests requiring immediate attention outside of the agreed scope of services with less than 72 hours notice are subject to a rush fee of 25% above the applicable standard rate. Rush fees are billed at the Consultant's standard hourly rate and included on the subsequent invoice.
4. THIRD-PARTY COSTS & COORDINATION FEE
The fees paid to The Conduit Agency cover the Consultant's time, expertise, coordination, and availability only. The Conduit Agency's service fee does not include the cost of any third-party vendor, amenity, or service arranged on behalf of the client or guest.
How third-party costs work
All third-party costs — including but not limited to transportation, dining, welcome amenities, floral arrangements, private chef services, spa bookings, event arrangements, and any other vendor service — are separate from The Conduit Agency's service fee.
No third-party cost will be incurred without the client's or guest's prior written approval. The exact cost will be presented before any booking is confirmed.
Approved third-party costs are billed at the actual vendor cost plus a 20% coordination fee to compensate for the time, vendor relationships, and logistics management involved in sourcing and executing the service.
Example: A private car service at $120 = $120 vendor cost + $24 coordination fee (20%) = $144 total billed to the client or guest with full documentation and receipt.
All third-party expenses are documented and receipted. A full accounting of any expenses incurred on a client's or guest's behalf is provided with each invoice. The Conduit Agency will not front third-party costs without a confirmed payment method or deposit on file.
5. DEPOSITS, CANCELLATIONS & REFUND POLICY
Deposits
Project-based engagements under The Architect tier require a non-refundable deposit of 50% of the total project fee at contract signing. Work does not commence until the deposit is received. The deposit is earned upon execution of the agreement and is not subject to refund under any circumstances.
Per-Stay Cancellations
Per-stay fees are due prior to the stay commencing. If a booking is cancelled by the host more than 72 hours before the scheduled check-in date, a credit equal to the per-stay fee will be applied to a future engagement. Cancellations within 72 hours of check-in are non-refundable.
Retainer Cancellations
Monthly retainer fees are non-refundable once the billing period has commenced. Either party may terminate a retainer engagement with 30 days written notice in accordance with Section 7. The client remains responsible for fees accrued through the end of the current billing cycle at the time of termination.
No Refunds on Completed Services
All fees for services that have been fully or partially rendered are non-refundable. If a client has concerns about the quality of services delivered, they are encouraged to contact The Conduit Agency directly to resolve the matter in good faith before seeking any other remedy.
6. CONFIDENTIALITY & PRIVACY
The Conduit Agency operates with absolute discretion. All information shared by clients, host partners, and guests in connection with any engagement — including but not limited to personal information, business strategies, schedules, financial information, and operational details — is held in strict confidence and will never be disclosed, shared, or used outside of the applicable engagement.
Client names, engagement details, and any identifying information are never used for marketing, promotional, or testimonial purposes without the express written consent of the client.
The Conduit Agency collects only the personal information necessary to deliver the agreed services. This information is stored securely and is never sold, shared, or transferred to any third party for any purpose other than delivering the services engaged.
7. TERMINATION OF SERVICES
Either party may terminate an ongoing engagement with thirty (30) days written notice delivered via email to the contact information provided at the time of engagement. Written notice sent via email constitutes valid notice for the purposes of this section.
The Conduit Agency reserves the right to terminate any engagement immediately and without notice if:
(g) The client fails to make payment within fifteen (15) days of the invoice due date;
(h) The client engages in conduct that The Conduit Agency reasonably deems harmful, abusive, unethical, or inconsistent with the standards of the engagement;
(i) The client breaches any material term of the applicable service agreement.
Upon termination, the client is responsible for all fees earned through the termination date. Non-refundable deposits and fees for services rendered are not subject to return upon termination by either party.
8. LIMITATION OF LIABILITY
The Conduit Agency's total liability to any client for any claim arising from or related to an engagement shall not exceed the total fees paid by that client in the three (3) months immediately preceding the claim. In no event shall The Conduit Agency be liable for any indirect, incidental, consequential, special, or punitive damages of any kind, regardless of the cause of action or the theory of liability.
The Conduit Agency is not responsible for the acts, omissions, quality, safety, or performance of any third-party vendor, service provider, or other party engaged on a client's or guest's behalf. All third-party arrangements are made in good faith based on available information and the Consultant's professional judgment.
9. INTELLECTUAL PROPERTY
All proprietary systems, frameworks, templates, methodologies, processes, and materials developed by The Conduit Agency remain the sole and exclusive intellectual property of The Conduit Agency, LLC regardless of whether they are used in connection with a client engagement.
Deliverables created specifically for a client and fully paid for by that client become the property of the client upon receipt of final payment. Until full payment is received, all work product remains the property of The Conduit Agency, LLC and may not be used, reproduced, or distributed by the client.
10. INDEPENDENT CONTRACTOR
The Conduit Agency operates as an independent contractor. Nothing in these terms or any service agreement shall be construed to create an employment relationship, partnership, joint venture, or agency relationship between The Conduit Agency and any client. The Conduit Agency is solely responsible for all taxes, insurance, and other obligations arising from its business operations.
11. GOVERNING LAW & DISPUTE RESOLUTION
These terms and all engagements with The Conduit Agency are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If informal resolution is unsuccessful within thirty (30) days, disputes shall be submitted to binding arbitration in Fulton County, Georgia, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
12. MODIFICATIONS TO THESE TERMS
The Conduit Agency reserves the right to update or modify these Terms of Service and Sales Policies at any time. Changes will be posted on this website with an updated effective date. Continued engagement with The Conduit Agency following any modification constitutes acceptance of the updated terms. Clients with active service agreements at the time of any modification will be notified in writing.
